By accessing or using NudgeStack ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. NudgeStack is operated by NudgeStack, Inc. ("we", "us", "our").
NudgeStack is an invoice follow-up automation platform that helps freelancers and small businesses collect payments. The Service includes: invoice management, automated email reminder sequences, deliverable file hosting and paywall functionality, payment tracking, and integrations with third-party services.
You must create an account to use the Service. You are responsible for maintaining the security of your account credentials. You must provide accurate information during registration. You must be at least 18 years old to use the Service.
NudgeStack sends automated reminder emails to your clients on your behalf. By using the Service, you authorize us to send these emails using the sender name and configuration you provide. You are responsible for ensuring that your use of automated email reminders complies with applicable anti-spam laws (CAN-SPAM, GDPR, etc.). You must have a legitimate business relationship with the recipients of reminder emails. We reserve the right to suspend email sending if we detect abuse or non-compliance.
The Service allows you to upload files ("deliverables") and restrict access until invoice payment is received. You retain all ownership rights to your uploaded files. We store files securely using encrypted cloud storage. We do not access, modify, or share your deliverable files except as necessary to provide the Service. You are responsible for ensuring you have the right to upload and distribute any files.
Paid plans are billed monthly via Stripe. You may cancel your subscription at any time through the Settings page or Stripe customer portal. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods. We may change pricing with 30 days notice to existing subscribers.
You retain ownership of all data you provide to the Service, including invoice data, client information, and uploaded files. We process your data solely to provide the Service. See our Privacy Policy for details on data collection, storage, and third-party sharing.
The Service is provided "as is" without warranties of any kind. We are not liable for: failure to collect payments from your clients, email deliverability issues, any damages resulting from service interruptions, loss of data beyond what is covered by our backup procedures, or actions taken by your clients in response to automated emails. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
You may not use the Service to: send unsolicited commercial emails (spam), harass or threaten recipients, collect payments for illegal goods or services, misrepresent your identity or the nature of your invoices, or circumvent any usage limits or access controls.
We may suspend or terminate your account if you violate these terms. Upon termination, your data will be retained for 30 days, after which it will be permanently deleted. You may export your data before termination through the dashboard.
We may update these terms at any time. Material changes will be communicated via email to registered users. Continued use of the Service after changes constitutes acceptance.
